By accessing or using the Setpoint platform and related services ("Service"), you ("Customer") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, you must not use the Service.
Setpoint provides a software-as-a-service platform designed for HVAC contractors, property managers, and building operators. The Service includes tools for scheduling, job management, customer relationship management, equipment tracking, and related operational workflows.
You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and are liable for all activity that occurs under your account. Notify us immediately at nathan@trysetpoint.com if you suspect unauthorized access.
Access to the Service is provided on a subscription basis. By providing payment information, you authorize Setpoint to charge your payment method for all fees incurred. Fees are billed in advance on a monthly or annual basis. Fees are non-refundable except as required by applicable law. Setpoint may change pricing with at least 30 days' advance notice.
You agree not to use the Service to:
You retain all rights, title, and interest in the data you submit to the Service ("Customer Data"), including customer records, job data, equipment information, and HVAC system data. You grant Setpoint a limited, non-exclusive license to process and store Customer Data solely to provide and improve the Service. Setpoint may use anonymized, aggregated data derived from Customer Data for benchmarking and analytics — such data will not identify you or your customers.
Each party agrees to keep confidential the other party's non-public information that is designated as confidential or that reasonably should be understood to be confidential. Neither party will disclose such information to third parties without prior written consent, except as required by law.
The Service, including all software, design, text, and graphics (excluding Customer Data), is owned by Setpoint and protected by intellectual property laws. These Terms do not grant you any rights to Setpoint's trademarks, trade names, or logos.
The Service may integrate with or link to third-party services. Setpoint is not responsible for third-party services. Your use of third-party services is subject to their own terms and policies.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SETPOINT DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SETPOINT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. SETPOINT'S TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify and hold harmless Setpoint and its officers, directors, and employees from any claims, liabilities, damages, or expenses arising out of your use of the Service, your violation of these Terms, or your Customer Data.
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. Setpoint may terminate or suspend your access immediately if you breach these Terms. Upon termination, you may request an export of your Customer Data within 30 days, after which Setpoint may delete it.
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Lehigh County, Pennsylvania.
Setpoint may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service at least 14 days before changes take effect.
